Assistant Company Secretary – Multi‑jurisdictional Governance

About the role
Reporting to the Group Company Secretary, this role is responsible for delivering end‑to‑end company secretarial and governance support across BSP’s subsidiaries and country branches. You will play a critical role in ensuring Boards and committees operate effectively, statutory and regulatory obligations are met, and governance practices remain aligned with Group standards and local legal requirements across multiple jurisdictions.
Key responsibilities
- Coordinate subsidiary Board and committee activities, including annual calendars, agendas, board papers, minutes, resolutions and action tracking.
- Manage statutory filings, annual returns, regulatory lodgements and corporate registry requirements across BSP’s jurisdictions.
- Provide governance and company secretarial advice to Boards and senior management on legal, regulatory and prudential obligations.
- Support compliance with PNGX, ASX and SPX listing and disclosure requirements, as well as other applicable regulatory frameworks.
- Maintain governance records, shareholder registers, policies, charters and statutory registers.
- Coordinate director onboarding and induction programmes and facilitate communication between subsidiary Boards, the Group Board and key stakeholders.
Required profile
- Bachelor of Laws and admission as a legal practitioner in Papua New Guinea (mandatory).
- Approximately 10 years post‑admission legal experience, including at least 5 years in company secretarial, corporate governance or related roles.
- Strong knowledge of corporate governance frameworks, corporate and commercial law, and the banking or financial services regulatory environment.
- Proven experience managing Board and committee operations, including preparation of agendas, papers, minutes, resolutions and regulatory filings.
- Ability to navigate complex multi‑jurisdictional regulatory requirements, including corporate registry obligations and prudential standards.
- Excellent written and verbal communication skills with the ability to provide practical governance advice.
- Demonstrated discretion, sound judgement and professionalism when handling confidential and commercially sensitive information.
