Joint Venture Manager

About the role

Laba Holdings Limited is seeking a Joint Venture Manager to lead the transition of joint venture agreements from term sheet to operational status, supporting PNG LNG and Papua LNG projects. The role reports directly to the CEO and is responsible for establishing governance, negotiating documents, and ensuring compliance with Laba's control policies.

Key responsibilities

• Own the joint venture pipeline, maintaining a register of parties, structures, documents, status, decisions and owners.
• Negotiate term sheets and definitive documents using Laba’s template suite and obtain CEO approval.
• Set up each venture with appropriate legal entities, registrations, bank accounts, boards and quarterly board calendars.
• Prepare investment cases and board papers for new ventures and material changes.
• Run venture governance once operating, including monthly reporting, quarterly board packs, distributions and related‑party transactions.
• Support bid teams when a venture is used as a bidding vehicle and manage partner relationships, escalating disputes to the CEO.

Required profile

• 12+ years experience in joint ventures, corporate development or commercial management within resources, construction or infrastructure.
• Proven track record negotiating and closing joint venture agreements, including shareholders’ and management services agreements.
• Experience setting up joint venture governance structures and working with EPC head contractors and Tier 1 operators.
• Degree in law, commerce, finance or a related discipline; eligible to work in Papua New Guinea.

Required skills

• Negotiation of joint venture term sheets, constitutions, shareholders’ deeds and management services agreements.
• Financial modelling and commercial evaluation to investment‑committee standards.
• Understanding of PNG company law, IPA requirements and National Content Policy (desirable).
